Terms of Service

These Terms govern your access to and use of this website and any quotation, order, or service provided by us. By using the site or placing an order, you accept these Terms.
1. Definitions
“Company”, “we”, “us” refers to the operating entity disclosed on the Contact page. “Buyer”, “you” refers to the business entity placing an inquiry or order. All transactions are strictly business-to-business (B2B).
2. Quotations
Quotations are valid for 30 days unless stated otherwise. Prices are exclusive of VAT, customs duties, and destination taxes. Specifications, drawings, and lead times are estimates until confirmed by a signed Sales Contract or Proforma Invoice.
3. Orders & Acceptance
An order becomes binding only upon: (i) issuance of a Proforma Invoice by us, (ii) Buyer’s written confirmation, and (iii) receipt of the agreed deposit (typically 30%). We reserve the right to refuse orders at our discretion.
4. Payment Terms
Default terms: 30% T/T deposit, 70% balance against B/L copy. Other terms (L/C at sight, D/P, escrow) available on agreement. Late payments accrue interest at 1.5% per month or the maximum allowed by law.
5. Incoterms & Delivery
Unless otherwise specified, delivery is FOB China per Incoterms 2020. CIF, CFR, DAP, and DDP are available on request. Estimated lead times exclude force-majeure delays (port strikes, customs holds, natural disasters).
6. Inspection & Acceptance
Buyer must inspect goods within 14 days of arrival and notify us in writing of any defect. Failure to notify within this period constitutes acceptance. Third-party pre-shipment inspection (SGS, BV, TUV) is available at Buyer’s cost.
7. Warranty
Standard warranty: 12 months from B/L date, or as stated in the product datasheet. Warranty covers manufacturing defects only and excludes: wear parts, misuse, unauthorized modification, improper installation, or damage from non-OEM parts. Remedy is limited to repair or replacement of defective parts, ex-works.
8. Limitation of Liability
To the maximum extent permitted by law, our total aggregate liability arising out of any order shall not exceed the invoice value of that order. We are not liable for indirect, incidental, consequential, or punitive damages, including loss of profit, revenue, or production.
9. Intellectual Property
All website content (text, images, drawings, specifications) is our property or licensed to us. Buyer-supplied drawings remain Buyer’s property; we will not use them for any third party. Custom OEM tooling paid for by Buyer remains Buyer’s property after full payment.
10. Confidentiality
Both parties shall keep technical, commercial, and pricing information confidential for 5 years from disclosure, except information that is public domain or independently developed.
11. Export Compliance
Buyer represents that the goods will not be re-exported to embargoed jurisdictions and shall comply with all applicable export-control laws (EAR, EU Dual-Use, etc.).
12. Force Majeure
Neither party is liable for failure to perform caused by events beyond reasonable control: war, pandemic, port closure, government action, severe weather, raw material shortage, etc. Performance is suspended for the duration of the event.
13. Governing Law & Disputes
These Terms are governed by the laws of the People’s Republic of China. Disputes shall be settled by arbitration at CIETAC (China International Economic and Trade Arbitration Commission), Shanghai sub-commission, in English. The CISG applies for international sales contracts unless excluded in writing.
14. Changes
We may update these Terms at any time. Updated Terms apply to orders placed after the revision date.
